01Who these terms apply to
These Terms & Conditions (“Terms”) are provided by SprintFWD, LLC, a Delaware limited liability company doing business as The Studio Stack (“Studio Stack,” “we,” “us” or “our”). They cover our website and the business software and related services identified in an accepted order (“Services”). “Customer” or “you” means the business entering into that order, and includes its authorized users where the context requires.
A customer accepts these Terms by signing an order that incorporates them or completing a checkout or account flow that conspicuously presents them and requires affirmative acceptance. The person accepting must be at least 18 and authorized to bind the business. Merely visiting our website does not create a paid subscription or amend an existing signed contract.
A separately signed agreement controls over these Terms. For the same subject matter, an applicable data processing addendum controls data protection matters; an accepted order controls product scope, commercial terms and any expressly stated departures; these Terms govern the remainder. A purchase order or other customer document does not change the agreement unless we expressly accept the change in writing.
Studio Stack is a technology provider. The studio or other business operating a branded experience is responsible for its memberships, classes, services and consumer terms. These business subscription terms do not replace a member’s agreement with that business or waive an individual’s statutory rights.
02Plans, customization & launch
Your order identifies the plan, authorized locations and users, subscription term, fees, implementation services and any agreed deliverables. Optional products—including Codes & Coupons, Connector App, Business Owner app, Custom Objects, First Timers and CAST—are included only when expressly listed. A separately supplied product may have its own agreement and privacy notice.
Customization means the configuration and capabilities available in the selected plan and agreed scope. New integrations, source-code transfers, bespoke development, third-party testing and other professional services require a separate written scope and fees. A demonstration, roadmap or marketing example is not a commitment to an unlisted feature or future release.
Launch estimates, including access to core tools within a week, depend on timely assets, approvals, credentials, compatible third-party accounts and the agreed scope. They are estimates unless an order expressly guarantees a date. Native app submission, developer-account verification and Apple or Google review have separate timelines and are outside our control.
03Accounts & permitted use
During the paid subscription term, we grant Customer a limited, non-exclusive, non-transferable right to use the ordered Services for its business operations and to make the configured customer-facing experiences available to its members. Use is limited to the locations, users and usage allowances in the order. Affiliates and franchisees require appropriate authorization and any required additional subscriptions.
You must keep account details accurate, protect credentials, use available security controls, assign access appropriately and promptly remove access when it is no longer needed. You are responsible for instructions and activity by your authorized users, except to the extent caused by our breach of the agreement. Notify us promptly of suspected unauthorized access. We may verify administrative authority before changing ownership or access.
04Fees, usage & payment
The order and the pricing disclosed when you accept it determine subscription fees, setup charges, usage allowances, billing intervals, due dates and any minimum commitment. Unless stated otherwise, prices are in U.S. dollars and exclude applicable taxes. Customer is responsible for taxes on its purchase, excluding taxes on our net income.
When you authorize recurring billing, you authorize the disclosed subscription and usage charges for the agreed term and renewals. Keep payment details current. We may use a payment provider to process authorized charges. Additional locations, optional tools and approved scope changes may increase fees as agreed in writing.
A Mindbody API call pass-through charge applies where identified in your plan or order. This is a Mindbody charge with no markup. Other third-party, messaging, app-store or usage charges apply only as disclosed in your order or separately accepted provider terms. A change in an underlying provider charge will be explained before it is passed through, subject to applicable notice requirements.
Notify us promptly of a good-faith billing dispute and pay undisputed amounts on time. Late charges apply only if agreed in the order and permitted by law. Except for a refund expressly provided by the agreement or required by law, fees for services already provided and committed subscription periods are non-refundable.
05Renewal, cancellation & trials
A subscription renews only on the basis and at the interval disclosed and accepted when it is purchased. Unless the order states a different commitment, a monthly subscription renews monthly. We will provide renewal notices or obtain additional consent when required by applicable law.
You may request cancellation through the cancellation method provided with your subscription or by emailing contact@thestudiostack.com from an authorized account. Unless the order provides otherwise, cancellation stops the next renewal and takes effect at the end of the current paid term. It does not erase fees already incurred or an expressly agreed minimum commitment. We will confirm the effective cancellation date.
Changes to our subscription pricing take effect at renewal with at least 30 days’ advance notice, or a longer period required by law or your order, so you can choose not to renew. A trial converts to a paid subscription only if the conversion date, amount, recurring terms and cancellation method were disclosed and you expressly authorized the conversion.
06Integrations & app stores
Services may connect to platforms such as Mindbody, Kite, HubSpot, other MMSs, payment services, messaging providers, social networks and app stores. You authorize the connections you enable and the data transfers reasonably necessary to carry out your instructions. You must have the required accounts, permissions, subscriptions and rights to connect and use the data.
Third-party services operate under their own terms and privacy practices. Their APIs, fees, permissions, availability and policies may change. We do not guarantee their uninterrupted operation, continued compatibility or approval of an app. We will use reasonable efforts to communicate material integration changes affecting the ordered Services. If a required integration is permanently unavailable and we cannot provide a materially equivalent alternative, you may terminate the affected service and receive a prorated refund of unused prepaid subscription fees for that service.
Apple and Google are not responsible for our support obligations. Any mandatory app-store terms applicable to a distributed app also apply. Customer is responsible for maintaining its developer accounts and providing accurate store listings and required rights unless an order assigns those tasks to us.
07Your content, business & communications
You retain ownership of the brand assets, copy, media, member information and other materials you provide or authorize us to process (“Customer Content”). You grant us and our service providers a limited license to host, copy, format, transmit and display it as necessary to deliver, secure and support the ordered Services and carry out your lawful instructions. This license is not a right to sell your member data or use confidential content in a public portfolio.
You are responsible for the accuracy and legality of your offers, pricing, class descriptions, refund and cancellation policies, promotions, coupon rules, waivers, loyalty programs, taxes and member transactions. Unless expressly agreed otherwise, we supply the technology and do not operate your studio or fulfill its services. Payment processing, chargebacks and settlement are subject to the applicable provider agreements.
Obtain the rights and permissions needed for your brand, photographs, video, music, testimonials and workout content, including any public performance rights for in-studio displays. Secure required notices, lawful bases and consents for data collection, integrations and communications. Keep consent records, identify the sender accurately, honor unsubscribe and other valid opt-out requests, and comply with applicable email, telephone, text-message, advertising and privacy laws. Purchasing software does not by itself authorize marketing to a contact.
You control campaign settings, audience selection, send timing and published content. Review and test these before launch, supervise authorized users, and do not import unlawfully acquired contact lists. Each party remains responsible for its own legal obligations; this allocation does not excuse our conduct or transfer duties that cannot legally be transferred.
08Acceptable use
You must not use the Services to violate law or others’ rights; send unlawful or unwanted messages; deceive or impersonate others; introduce malware; bypass security, permissions or usage limits; gain unauthorized access; or materially disrupt service. You must not resell the platform, expose administrative access to unauthorized parties or copy our proprietary technology except as expressly permitted.
Documented APIs, approved integrations and authorized automation are permitted within their applicable limits. Unauthorized scraping, credential sharing, reverse engineering and security testing are prohibited, except to the extent a restriction is prohibited by law or we approve the activity in writing. Send suspected vulnerabilities privately to contact@thestudiostack.com and avoid accessing other users’ data.
09Data protection & sensitive information
Our Privacy Policy explains how we handle personal information. Where we process member or lead data on Customer’s behalf, Customer determines the lawful purposes and instructions. The parties must put any legally required data processing agreement in place before that processing begins. These Terms and a public privacy policy are not a substitute for a required data processing addendum, transfer mechanism or business associate agreement.
Do not submit protected health information subject to HIPAA, payment-card security codes, government identifiers, biometric templates or other regulated sensitive data unless we have expressly agreed in writing to support that use and the required safeguards and agreements are in place. Use only the designated secure payment flow for card information. Ordinary fitness information may also be protected by privacy or consumer-health laws; it is not automatically exempt because it is not subject to HIPAA.
We will maintain reasonable administrative, technical and organizational safeguards appropriate to the Services and data. Each party will cooperate with the other on incidents and lawful privacy requests as required by law and the applicable data processing agreement. No system can guarantee absolute security.
10AI, automation & workout displays
AI and automated features are available only where included in the applicable product and scope. Outputs can be incomplete, inaccurate or unsuitable. Customer must review material communications, offers and decisions, supervise automated workflows and provide an appropriate way for members to reach a person. Do not use these features for medical advice, emergency response, unlawful discrimination or decisions that require safeguards the product does not provide.
CAST displays the pre-programmed video, GIF and image content selected by your team. You are responsible for content rights, appropriate programming, safe equipment and studio conditions, qualified instruction and participant supervision. Screen playback is not a substitute for professional judgment or member safety checks. Local networks, connected displays and compatible devices are required. We do not promise a particular fitness, health, sales or retention outcome.
11SprintFWD technology, customization & ownership
SprintFWD retains ownership of the software, including paid customization. As between the parties, SprintFWD, LLC and its licensors exclusively own all right, title and interest in the Services and their software, source and object code, architecture, APIs, integrations, templates, design systems, workflows, documentation, reusable components, configurations, modifications, enhancements and derivative works, including those developed, configured or personalized for Customer or funded by Customer (collectively, “Provider Technology”). Customer’s payment of setup, development, professional-services or other fees does not transfer ownership or create an exclusive right in Provider Technology.
No work made for hire or implied transfer. Provider Technology is licensed, not sold, and is not a “work made for hire” for Customer. This allocation applies even where a project, purchase order or other customer document describes personalization or development as custom work, commissioned work or work for hire. If any rights in Provider Technology nevertheless vest in Customer, Customer hereby assigns those rights to SprintFWD, LLC, including all related intellectual property rights, and will reasonably assist in documenting that ownership. Only a separate written agreement signed by an authorized SprintFWD representative that specifically identifies the intellectual property being assigned and expressly overrides this section can transfer ownership. An existing signed agreement remains controlling according to the order of precedence in these Terms.
Your content remains yours. Provider Technology does not include Customer’s pre-existing trademarks, logos, photographs, copy, videos, member data or other Customer Content, or Customer’s independently developed materials that do not incorporate Provider Technology. Customer retains those rights. Our ownership of software that processes or displays Customer Content does not transfer ownership of that content to us. Third-party materials remain subject to their applicable licenses.
Customer receives only the subscription access and use rights expressly granted in these Terms and the accepted order, including use of the configured experience during the applicable term. No source-code delivery, perpetual license, exclusivity or right to reproduce, resell or independently operate Provider Technology is implied. If you voluntarily provide product feedback, we may use it without payment or attribution, subject to our confidentiality obligations. Use of your name, logo or non-public project work in our portfolio requires your prior written approval.
12Confidentiality
Each party will protect the other’s non-public business, technical and financial information that is identified as confidential or should reasonably be understood to be confidential. The recipient may use it only to perform or exercise rights under the agreement and may share it only with personnel, advisers and service providers who need it and are bound by appropriate confidentiality duties.
This does not cover information the recipient can demonstrate was lawfully known without restriction, independently developed, received lawfully from another source or made public without a breach. Legally compelled disclosure is permitted, with advance notice when lawful and reasonable assistance seeking protection. Confidentiality duties survive for three years after termination, and for trade secrets and personal information for as long as required by applicable law.
13Support, changes & accessibility
Support, service levels and maintenance commitments are those stated in the order. We may maintain, secure and improve the Services. We will not materially reduce the core functionality purchased during a committed term without providing a materially equivalent alternative or an appropriate right to terminate the affected service with a prorated refund of unused prepaid fees. Beta and preview features may change or be withdrawn and should not be relied on for critical operations.
Accessibility is a shared implementation responsibility. We are responsible for our agreed platform and development deliverables; Customer is responsible for the content, configuration and third-party components it supplies or changes. Any agreed accessibility standard, testing scope and remediation process should be documented in the order. Report barriers to contact@thestudiostack.com. Nothing in these Terms waives accessibility rights or either party’s obligations under applicable law.
14Suspension & termination
We may restrict or suspend affected access when reasonably necessary to address a security threat, unlawful activity, material misuse, a legal requirement or undisputed overdue fees. Where practicable, we will give notice and an opportunity to resolve the issue, limit the restriction to what is necessary and restore access when the issue is resolved.
Either party may terminate the affected order for a material breach that remains uncured 30 days after written notice, unless a shorter period is required to prevent serious harm or by law. If Customer terminates for our uncured material breach, we will refund unused prepaid subscription fees for the terminated service. If we terminate for Customer’s uncured material breach, amounts properly due under the agreed commitment remain payable, subject to applicable law.
Cancellation or termination ends the applicable right to use the Services. Clauses intended to survive—including accrued payment obligations, ownership, confidentiality, liability, dispute resolution and lawful retention requirements—continue.
15Data export & end of service
Before ending service, export information available through your account. Unless a different period is agreed or a legal or security restriction applies, an authorized customer may request an export of available Customer Content within 30 days after termination. We will provide it in a reasonably available standard format. Bespoke conversion or migration work requires a separate agreement; we will not charge a fee for exercising an individual privacy right where prohibited.
After the export period, Customer Content may be deleted under the applicable data processing agreement and retention rules, subject to legally required retention and protected backup cycles. Data retained for legal reasons must remain protected and restricted to that purpose. Customer should maintain its own operational records; this does not waive our duties or liability that cannot lawfully be limited.
16Warranties & disclaimers
Each party represents that it has authority to enter the agreement. We will perform expressly agreed professional services with reasonable care and skill. Customer represents that it has the rights and permissions necessary for Customer Content and its instructions.
EXCEPT FOR EXPRESS COMMITMENTS IN THE AGREEMENT AND WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED, THE SOFTWARE AND SERVICES, INCLUDING CUSTOMIZATIONS, BETA FEATURES, INTEGRATIONS AND AUTOMATED OUTPUTS, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. To the fullest extent permitted by law, SprintFWD and its licensors disclaim express, implied and statutory warranties, including merchantability, fitness for a particular purpose, title and non-infringement, and warranties arising from course of dealing or usage of trade.
We do not warrant that the Services will be uninterrupted, continuously available, secure against every threat, timely or error-free; that every defect will be corrected; that third-party systems will remain compatible; or that the Services will produce any particular revenue, conversion, retention, savings or other business result. Downtime, outages, defects, delays, failed transactions and interruptions can occur. Customer is responsible for reasonable business-continuity arrangements, review of material outputs and maintaining its own operational records.
These disclaimers do not override express security, confidentiality, refund or service commitments in the agreement, or obligations and remedies that applicable law does not permit us to disclaim.
17Limits of liability
Excluded business losses. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPRINTFWD, LLC, ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR LOST REVENUE, SALES, PROFITS, SAVINGS, BUSINESS OPPORTUNITIES, GOODWILL OR ANTICIPATED BENEFITS; BUSINESS INTERRUPTION; LOSS OF USE; LOSS OR CORRUPTION OF DATA; OR COSTS OF REPLACEMENT SERVICES, WHETHER THOSE LOSSES ARE CHARACTERIZED AS DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES. This includes losses arising from or connected with downtime, outages, software errors or defects, delays, failed bookings or payments, incorrect outputs, integrations, third-party failures, or the use of or inability to use the Services or customized functionality.
Application of the exclusion. Subject to the non-excludable liabilities below, these exclusions apply regardless of the theory of liability, including contract, warranty, tort (including ordinary negligence), strict liability or otherwise; whether a loss was foreseeable or we were advised of its possibility; and even if a limited remedy fails of its essential purpose. Customer agrees that no damages for the excluded categories are recoverable from the parties protected by this section. This does not remove an expressly agreed refund or service-credit obligation, excuse Customer’s payment obligations, or exclude amounts properly owed under an express third-party indemnity.
Aggregate cap. Subject to the exceptions below, each party’s total aggregate liability arising out of or relating to the agreement or Services is limited to the fees paid or payable by Customer for the affected Services during the 12 months before the first event giving rise to the claim. All related claims and all claimants share one cap; multiple events, claims or legal theories do not increase it. For use of the free website without a paid subscription, SprintFWD’s aggregate liability is limited to US $100, to the extent lawful.
Liabilities that cannot be excluded. Neither the exclusions nor the cap limit liability for fraud, willful misconduct, gross negligence, death or personal injury where liability cannot be limited, or any statutory duty, remedy or other liability that applicable law prohibits excluding or limiting. Non-waivable privacy and consumer rights remain intact. The cap does not limit Customer’s payment or indemnity obligations or either party’s infringement or misappropriation of the other’s intellectual property. A separately signed agreement may set different limits. These Terms do not prohibit a claim or remedy that the law does not allow the parties to waive.
Allocation of risk. The pricing and scope of the Services reflect these limitations, which are an essential part of the commercial allocation of risk. Each provision applies independently to the maximum extent permitted by law. If a particular limitation is unenforceable, it is limited only to the extent required, and the remaining lawful protections continue.
18Third-party claims
Customer will defend us and our personnel against a third-party claim to the extent arising from Customer Content infringing that party’s rights, Customer’s unlawful communications or data instructions, or Customer’s material breach of its content, permissions or acceptable-use obligations. Customer will pay damages and reasonable costs finally awarded, or agreed in a settlement it approves. This obligation does not apply to the extent the claim results from our breach, negligence or willful misconduct.
We must give prompt notice of the claim, with any delay relieving Customer only to the extent materially prejudiced; allow Customer to control the defense with competent counsel; and provide reasonable assistance at Customer’s expense. No settlement may admit fault for us, impose a non-monetary obligation on us or fail to fully release us without our written consent, not to be unreasonably withheld. We may participate with our own counsel at our own expense.
19Copyright concerns
If you believe content hosted through our Services infringes your copyright, contact contact@thestudiostack.com with your contact details, identification of the work and the disputed material, its location, your signature, and the statements of good faith and accuracy required by applicable law. We may restrict disputed content and address repeat infringement as appropriate.
We may request additional information and pass a notice to the affected customer. Where the law provides a counter-notice process, we will explain the applicable steps. Do not submit a notice you know is false. This contact provision does not represent that a statutory agent registration has been completed.
20Governing law & disputes
California law governs the agreement, excluding its conflict-of-law rules, unless applicable law requires otherwise. The parties consent to the state and federal courts in Los Angeles County, California, for disputes arising from the agreement. This provision does not deprive an individual of a mandatory local forum or other non-waivable protection.
Please contact us first so we can try to resolve a concern. Either party may seek urgent relief when necessary to protect its rights. These Terms do not impose mandatory arbitration or a class-action waiver; a separately signed agreement may contain its own dispute-resolution provisions.
21Changes, notices & general terms
Material changes to these Terms will be notified at least 30 days before they take effect, unless a change is needed sooner for law or security. Changes apply prospectively and do not amend a signed agreement or an already committed term without the required agreement. Where renewed assent is necessary, we will obtain it. The effective and last-updated dates appear at the top of this page.
We may send service and contract notices to your designated account email. Keep it current. Customer notices to us may be sent to the contact below. Electronic signatures and records may be used to the extent permitted by law; this is not a waiver of notices or delivery methods the law requires.
Neither party may assign the agreement without the other’s consent, except to a successor in a merger, reorganization or sale of substantially all relevant assets that assumes the obligations, subject to applicable law. Neither party is responsible for delay caused by events reasonably beyond its control, but must mitigate the impact; this does not excuse payment for services already delivered. The parties are independent contractors. No third party has enforcement rights except where required by applicable app-store terms or law. An unenforceable provision will be limited or severed only as necessary; the remainder continues. A failure to enforce a right is not a waiver.
